Please if anyone has a clue as to why TMNA is not maintaining its ratio to TIO comment.
If you read the press releases, they agree that Tingo (TMNA) shareholders end up owning 75% of the combined company. TIO is the new symbol, TMNA is where the value comes from and in long run its shareholders own 75% of TIO stock so says both companies. It is a hard-to-understand transaction and harder to understand disconnect between TIO and TMNA .
PR:
MICT, Inc (NASDAQ: MICT) forged a new merger agreement with Tingo Inc (OTC: TMNA) to acquire 100% of the operating business and assets of Tingo.
Tingo is a Fintech and Agri-Fintech business on the African Continent.
In May, the companies agreed to merge and consolidate their operations to create a Fintech and Agri-Fintech company serving the African and Asian markets with a global expansion strategy.
MICT expects the new merger structure to lead to a number of significant and immediate benefits.
The purchase consideration involves shares of MICT (representing 19.9% of its outstanding shares), shares of a newly-formed Series A Convertible Preferred Stock convertible into an additional 20.1% of the stock, and shares of a newly-formed Series B Convertible Preferred Stock convertible into an extra 35% of the stock.
Tingo would own 75% of MICT's common stock after the transaction.
The new merger structure will help expedite the launch of Tingo's food-produce export business benefiting from several high-margin and material export contracts that will shift a substantial part of Tingo's revenues directly into U.S. dollars.
The transaction also accelerates the development and launch of Tingo's commodity platform and commodity trading business.
In the first half of 2022, Tingo's operating business reported revenue of $525.7 million, gross profit of $317.4 million, and net income before tax of $298.4 million.
Tingo's operating business results for the fourth quarter and second half of 2022 will likely benefit significantly from several new business streams.

ONLY 6,000 shares left to short, on hard to borrow list now with 14.9% interest rate. Everything says short squeeze, volume huge, huge % gains up 60% in last 2 days, high interest rate, lack of shares to short. Look at that chart over 1 million to short before, even 2 weeks ago 700,000 now 6,000.
But why isn't TMNA following it, because TMNA stock becomes TIO stock?? Now TMNA converted is worth $1.55 roughly a 4 bagger over its close of .40.
Quite the mystery.

Hello Fellow Apes,
It has been brought to my attention that my previous posts were actually DD and not Discussion posts. To be honest with you, I didn't know. I thought everything was a discussion because I'm always open for hearing about your insights and perspective. It's always good to hear from multiple perspective. With that said, the purpose of this post is to highlight the recent CLOV presentation at BOA.

In real life, I work with all level of staff including C-level ones. One of the things I find fascinating is the wordcraft dance that they do to highlight certain things while avoiding possible lawsuits. This Q&A has a lot of subtle nuances that I want to highlight with you. For investors such as myself, we basically tasted blood and at CLOV current price, the risk is so small, it's not even funny.
However, before I continue, I just want to give a quick shout out to u/TxKuntStuffer. My bro has been replying to everyone one of my thread and giving me that negative vote so I want to make sure everyone is aware of his point so we can save some time. I don't know if you know this but in CLOV recent earning call, it lost $70,000,000.00 and was not profitable last quarter. Please see for yourself in the link below. I want to make sure everyone is aware of this fact as u/TxKuntStuffer has been posting this on so many posts to make sure we are aware of this fact. @ u/TxKuntStuffer I need you to short CLOV even harder because I'm going to spend a lot of money on this stock from now until 2024.

Now that is out of the way, lets talk about the call. There are a few things to highlight but the major #1 thing is there is a pathway to profitability in 2024 which was pointed out in this post https://www.reddit.com/CLOV/comments/13f4a0k/boa_2023_healthcare_conference_clove by u/Sandro316. Now for those of you who wondered, "Why don't they just say they will be profitable by 2024?" The reason why people cannot say this kind of thing in public places is because in the worst case scenario where they are not profitable by x date, they will be subject to a case action lawsuit for misleading investors. The best they can say is "We have a clear pathway to profitability." The cool thing about this kind of comment is I anticipate banks, institutional investors, and healthcare investors such as myself jumping on this opportunity as CLOV is currently a penny stock that is not profitable. Furthermore, it is currently being shorted so the price will be relatively low for a while or until that one quarter earning where they say, "Hey bitches, we're profitable now." At that point, we will see a massive upswing.

The other thing to highlight about this call is clov is aiming for a 4 star rating right now. They are not planning to increase member enrollment anytime soon and is focusing on members retention. The reason for this is every time that you get new members for medicare, they bring "issues" with them that might cost you more MCR or slow your progression toward a higher star rating due to how the rating are calculated.

It's mainly has to do with your starting measures and whether or not you can improve them within a meaningful time. The one things that CLOV is doing right is Clover assistant has been able to reduce MCR by 1,000 points while improving health outcomes. CLOV is planning to increase Clover assistant penetration rate with its current providers and used the improved MCR and health outcomes to get a higher star rating. They cannot accomplish this within a year--which I think is their plan--if they continue to acquire new members with varying health issues and compliance.
The thing that I find funny was the BOA interviewers was mostly focus on reducing MCR and how much profit CLOV will make, and the CFO reaffirm that the aim is to improve health outcomes and not just reducing MCR. This is a good thing, as I will not be investing in this company if they were aiming for just profit. I could invest in United Healthcare instead. The only reason why I was attracted to CLOV was because of Google Health.
The other things that was hinted at during the call was the recent proposed changes to billing codes, reimbursement rate, and payment points. Clov's "margins" will not be affected by the proposed changes by CMS which are not finalized at the moment. However, we--the people in healthcare--are anticipating a reduction in "benefits" for both medicare and MA. In my perspective, fuck those healthcare companies. These changes are needed because they have been abusing various medical billing codes for years to improve margins. They been over billing CMS so much that it is on the brink of collapse every 5-10 years if changes are not implemented. The fact that CLOV is making on improving the health of its members through Clover assistant while reducing MCR is a good strategy. My guess is as soon as CLOV reached 4 star, it will raise more fund to power through another series of growth and expansion to other states.
The company has a sound strategy, and the biggest take away from the BOA call is the confirmation that they will be profitable and not go away anytime soon. With that said, CLOV current price is heavily undervalued, and it will be interesting to see the stock movement in the next 6 months. I don't know how long it will take for institutional investors to take notice of CLOV again, but I think it will see a huge price jump when they start dog pilling on the CLOV. Then we also have the shorts. What is going to happen when they start covering? Then we also have the retail investors that have been lurking around in our reddit for several days now.
Just take a look at our recent daily volume. We traded around 17,000,000 yesterday and 10,000,000 today--compared to our average of 6,000,000 for 90-days. The recent earning call and presentation at BOA are great signals about the future movements of CLOV.
As a final note, I did some asking around and there isn't a single program in healthcare at the moment that can drive 1,000 points for MCR. Every company is exploring AI and every company has providers engagement. However, the key thing that separate CLOV with companies like United Healthcare is the fact that they are smaller and more agile. They started with AI in mind--people from google--and has focus on that idea even when people called them stupid and shorted their company to oblivion. The problem that all big companies have is that it is insanely difficult to change operational paradigm once they have been developed and mastered. People are hard set on their ideas of what work. This is the reason why Toyota all of a sudden lost the #1 automobile position to a brand new start up called Tesla. Toyota still produce way the fuck more cars than Tesla. However, just like blackberry, Toyota is failing to change itself to meet the needs of the current consumers.
Nevertheless, this isn't to say CLOV will be the next United Healthcare of Tesla. It just has the potential to be. I have been nothing but impress with the key decision making of CLOV leadership. They have some amazing killer instinct on their team. Furthermore, you also have to remember that both Tesla and United Healthcare were once startup just like CLOV. Do you remember when United Healthcare used to be worth $0.14 in 1984 and $2.75 in 1992. It took 8 years for United to start generating some serious money. When you look at it from this perspective, CLOV's growth is looking pretty good for a small company from New Jersey.
CLOV is currently $.95. If you cannot see the massive upside and how high the reward is compared to the risk, you're missing the bigger picture of this stock and company.

Hello Fellow Apes,
I know I have been posting a lot as of late, but I want to take a moment to talk about the healthcare business with you guys and share with you my healthcare knowledge. It is an over simplification of thing, but it is important in shifting the conversation about clover health from purely stock-market-trader mindset to a healthcare business mindset. I have been hyped about the recent earning for CLOV and had to explain to my friends why I'm going so hard on CLOV. In their own words, "the company looks like shit bro. It's a penny stock." I had to explain to them why they are missing out on a killer instinct moment to make some serious money.
At the moment. CLOV is profitable--not on the current earning calls, but on the internal side operational side. We are 1-2 earnings away from CLOV becoming profitable and at that point Clov will shoot up to above $5 which is 5x the price it is currently at. What makes it profitable you might ask. Well it is main the MCR and the to be 3.5 stars bonus.

A rough estimate of last quarter--not this and the next quarter profit is

Insurance revenue $317.1 mil X 13.6% = $43.1256 mil based on a MCR of 85.6% this is the profit CLOV gets from its insurance program after expenditure.
Non-insurance revenue $205.8 mil x 3.9% = $8.0262 mil based on MCR of 96.1% this is the profit CLOV gets from its insurance program after expenditure.
This is over simplifying of the healthcare business, but it a vital understanding that you guys need to understand when you are evaluation any healthcare business. The money you spent on a patients/members/consumers should be less than the money you get from them and CMS. Furthermore, the health outcomes has to be positive otherwise you will not get more money and bonus money from CMS and avoid getting recommendations and audits.
What I don't like about this many sub reddit and elitist traders is they assume everyone understand this shit and do not bother to break things down for everyone to understand.
Now, what you might be thinking is if the company is making about $50 mil in profit this quarter, why is it in the negative for $70 mil? Well this is the part about the healthcare business that people missed if all they look at is the balance sheet. There are more to running a healthcare business than just MCR and balance sheet. CLOV overall operation is in the negative because a variety of factors that I'm going to generalized
  1. CMS payment points are not given to the insurance company until months and even years later.
  2. The bonus you gets form patients being healthier is something that you cannot calculate with pinpoint accuracy.
  3. Expansion of programs and logistic vary greatly from one insurance company to another. Basically these are the programs these company runs to hopefully get the patients to adhere to treatments and generate improved health outcomes because this means more money and bonuses and star upgrade
This bring me to my next point. CLOV lost some members this quarter yet iti s doing well financially. However, during the earning calls, Andrew said he is focus on members retention and not new members enrollment. There are a couple of things that are happening here that people are not talking about, and it is very cut throat.
  1. CLOV basically dumped a large chunk of non-compliance and high medical cost members. This is my frustration vent here. There is nothing you can do for motherfuckers who refuse to follow treatments, make change his/her lifestyle and not listen to the best advice of medical professional. All they end up doing is costing the system more while yielding horrible health outcomes.
  2. Andrew is focusing on members retention because if he is able to prove that they can keep the MCR cost down while improving the health outcomes of CLOV's members, they can get a star upgrade with higher payment points and bonus. This should kick in in q3 for the previous star upgrade.
  3. Clover assistant (the AI thing) is demonstrating spectacular results in terms of health outcomes, customer satisfaction, and reducing the MCR. This is why they are pushing it so hard. There is a huge needs in society to artificially increase the skills of our front-line staff. Clover assistant is doing this. I know they advertise this for the doctors, but let be honest here. You are oblivious if you to healthcare if you think the physicians are using this AI. It's the front line staff and assistants that are using Clover assistant. This is why CLOV is able to reduce it MCR so much to the point that it is revising its guidance.
Now with all that is said, they key thing we are waiting to hear in the next two quarters are the reimbursement rates of CMS and improved star rating. We don't need the improved star rating to be profitable--just CMS to give CLOV the money it earned last year. However, the improved star rating will just trigger a panic buy from institutions because free money.
Nevertheless, I think our focus as investors should be the roll out of Clover home health and future implementation of Clover assistant. Come on bro, it reduced the MCR by 1,000 points (10%) a fucking software improving a company profit by 10% and possibly help it get a higher star rating should be the talk on this forum.
I feel like we are too focus on what happened in the past instead of what will happen to CLOV. What we are seeing right now with the earning was what happened a few months ago. You don't make money as an investor by looking at the past, you have to be able to anticipate the future. The next two quarters are often the best seasonal quarter for healthcare companies. CLOV has been on point with its guidance for the past 2+ years and now has a path toward profitability. Take a look at Oscar health before its breakout earnings, we're on a similar trajectory.
Also, but I am not hopeful, the people who are shorting the stocks still have no returned the shares they borrowed. At least for this tracker.

Additionally, it looks like they are having trouble keeping the stock down. Either way, there are opportunities to be had here. For people like myself, I have months to accumulate for stocks for a bigger payout in the future. For those who have invested, you can feel a little more confident that your money will return and grow. You can cash out or invest in other things if you like.
With that said, I hope i am able to entertain you somewhat and help you look at the other perspective of healthcare. Healthcare companies are more than just MCR and number of members--especially with the current climate of healthcare. There are many posts on this forum that distract the members from the thing they should be focusing on such as how CLOV is being operated and future earnings. They make you worry about things that are insignificant such as CLOV operation lost of $70 mil which is a lot when you are comparing yourself to that number. However, as a health insurance company $70 million is peanut money. For CLOV, its revenue is for this year will be around $2,000 million. It has enough cash on hand to tank the next two quarter too. Furthermore, nobody is talking about how big of a deal it is for healthcare companies to have the COVID emergency lifted. Many companies are saving a ton of money because this mandated is lifted.
